Agreement to Terms
By accessing or using Ciphoria's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
Services
Ciphoria provides software development, cloud infrastructure, AI solutions, and digital strategy consulting services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for project execution
- Respond promptly to requests for feedback and approvals
- Respect intellectual property rights and confidentiality agreements
- Make timely payments as agreed in project contracts
- Use delivered software and services in compliance with applicable laws
Intellectual Property
Unless otherwise specified in a written agreement, all intellectual property rights in work product developed by Ciphoria remain with Ciphoria until full payment is received. Upon full payment, ownership transfers to the client as specified in the project contract.
Ciphoria retains the right to use general knowledge, skills, and experience gained during projects for other clients, provided no confidential information is disclosed.
Payment Terms
Payment terms will be specified in individual project contracts. Generally:
- Invoices are due within the timeframe specified in the contract
- Late payments may incur interest charges
- We reserve the right to suspend services for overdue accounts
- All fees are non-refundable unless otherwise agreed in writing
Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. This obligation survives termination of the service agreement.
Limitation of Liability
To the maximum extent permitted by law, Ciphoria shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Warranties
Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements.
Termination
Either party may terminate a service agreement with written notice. Upon termination, you remain responsible for payment of all services rendered up to the termination date.
Governing Law
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify clients of material changes via email or through our website. Continued use of our services after changes constitutes acceptance of the new terms.
